Applies To: Calma Verde Botanicals LLC (“CVB”), including all products, manufacturing partners, suppliers, and distribution channels

Our Commitment

Calma Verde Botanicals maintains structured compliance standards across its supply chain to support consumer safety, regulatory alignment, and responsible adult access. While CVB does not directly manufacture its products, we require all manufacturing, testing, and distribution partners to operate in accordance with Certified Good Manufacturing Practices (cGMP), independent third-party laboratory verification, and applicable federal, state, and local regulations.

Our standards are designed to align with established food, beverage, and wellness regulatory frameworks and to adapt as federal and state guidance continues to evolve.

At Calma Verde Botanicals (CVB), trust, transparency, and responsibility are foundational to how we operate. Our mission is to provide high-quality, plant-based wellness products while prioritizing consumer safety, regulatory compliance, and ethical business practices.

This Code of Conduct establishes the standards that guide how CVB products are produced, tested, labeled, marketed, and distributed through qualified third-party partners.

Guiding Principles

CVB is guided by the following principles:

• Consumer safety and product integrity

• Responsible access for adults aged 21 and over

• Transparency throughout the supply chain

• Compliance with applicable federal and state regulations

• Ethical marketing and accurate consumer education

• Building trust with consumers, retailers, regulators, and partners

Product Scope & Cannabinoid Standards

• CVB products utilize naturally derived cannabinoids sourced from hemp in compliance with U.S. federal law.

• CVB does not permit the use of synthetic or chemically altered cannabinoids, including but not limited to Delta-8, Delta-10, HHC, or similar compounds.

• Product formulations are designed to support responsible, informed adult use.

Dosage & Formulation Standards

Where applicable by product category and jurisdiction, CVB requires:

• A maximum of 10 mg THC per serving

• A maximum of 100 mg THC per package

• Clearly defined serving sizes for all multi-serving products

• Resealable and child-resistant packaging where required by law

• Clear consumer guidance regarding responsible use

Products exceeding low-dose thresholds are restricted to legally authorized sales channels only.

Manufacturing & Quality Assurance

Calma Verde Botanicals does not directly manufacture its products. All products are produced by independent, third-party manufacturers.

CVB requires all manufacturing partners, as a condition of doing business, to adhere to the following standards:

• Compliance with Certified Good Manufacturing Practices (cGMP)

• Use of food-grade facilities and production methods consistent with industry best practices

• Ingredient sourcing aligned with Generally Recognized as Safe (GRAS) principles where applicable

• Documented quality control and quality assurance programs

• Full batch traceability, production records, and chain-of-custody documentation

CVB conducts ongoing due diligence and reserves the right to review manufacturing documentation to ensure continued compliance with these requirements.

Testing & Transparency

CVB requires that all finished products produced on its behalf undergo independent, third-party laboratory testing prior to release, including:

• Cannabinoid potency verification

• Purity and contaminant screening

• Residual solvent analysis, where applicable

Certificates of Analysis (COAs) must be maintained by the manufacturer and made accessible to consumers through QR codes on product packaging and/or through the CVB website.

Packaging & Labeling Standards

CVB requires packaging and labeling to be clear, accurate, and responsible.

Standards include:

• Clear disclosure of total cannabinoids per serving and per package

• Prominent 21+ age restriction

• Required federal and state warning statements

• QR code access to third-party laboratory test results

• No imagery, language, or design elements that may appeal to minors

• No unsubstantiated health, medical, or therapeutic claims

• Responsible consumption messaging consistent with adult-use products

Marketing & Advertising Ethics

CVB follows responsible marketing principles aligned with regulated adult-use industries.

Requirements include:

• No marketing directed toward minors

• Age-gated access for ecommerce and digital platforms where applicable

• No claims of disease treatment, cure, or prevention

• No misleading or exaggerated statements regarding effects or efficacy

Distribution & Retail Responsibility

CVB requires that all distribution and retail partners:

• Sell products only through legally permitted channels

• Enforce 21+ age verification at point of sale

• Comply with all applicable state and local retail regulations

Regulatory Compliance

CVB requires its manufacturing, distribution, and supply chain partners to comply with all applicable federal, state, and local laws and regulations, including those governing:

• Hemp-derived cannabinoid products

• Food, beverage, and wellness standards

• Labeling, packaging, and testing requirements

CVB actively monitors regulatory developments and works with its partners to maintain compliance as laws and guidance evolve.

Continuous Improvement

The cannabinoid and wellness industries are continuously evolving. CVB commits to:

• Reviewing and updating this Code of Conduct as regulations and best practices change

• Working collaboratively with regulators, laboratories, and industry partners
